Before you commission

These terms govern the relationship between Make Bespoke Studio and its clients. They exist to protect both parties and to ensure every commission proceeds on a clear, agreed footing.

About Make Bespoke Studio

Make Bespoke Studio Ltd is a bespoke furniture, joinery, lighting and flooring manufacturer registered in England and Wales. References to "the Studio", "we" or "us" in these terms refer to Make Bespoke Studio Ltd.

These terms apply to all commissions and services provided by the Studio unless otherwise agreed in writing. By proceeding with a commission, the client accepts these terms.

Quotations and proposals

All quotations are provided in writing and are valid for 30 days from the date of issue unless otherwise stated. A quotation does not constitute a binding agreement.

Quotations are based on the specifications provided at the time of enquiry. Any material change to the brief after quotation may result in a revised price. The Studio will communicate such changes before proceeding.

Prices are exclusive of VAT unless explicitly stated otherwise. VAT will be applied at the prevailing rate.

Accepting a commission

A commission becomes binding once the client has confirmed acceptance of the quotation in writing (by email or signed document) and the deposit invoice has been settled.

The Studio will confirm receipt of the deposit and issue a production schedule. Design development, material procurement and workshop scheduling do not begin until the commission is confirmed.

Update to reflect your actual payment schedule

Deposits and payment

Unless otherwise agreed in the quotation, the following payment schedule applies:

  • 50% deposit due on confirmation of commission, before design development begins
  • 40% stage payment due prior to the commencement of production
  • 10% final payment due prior to delivery or installation

All invoices are payable within 14 days of issue unless otherwise stated. The Studio reserves the right to pause or suspend work on any commission where payment terms are not met.

Title to goods does not pass to the client until payment is received in full. Risk passes to the client on delivery.

Review cancellation fee structure with your solicitor

Changes and cancellation

The client may request changes to a confirmed commission. The Studio will assess any requested change and advise on any effect on price or lead time before proceeding. Changes must be confirmed in writing.

If the client cancels a confirmed commission after the deposit has been settled:

  • Work completed and materials procured up to the point of cancellation will be charged at cost
  • The deposit is non-refundable where design work or material procurement has already commenced
  • Any stage payments already made will be applied against costs incurred

The Studio will endeavour to mitigate costs where possible and will provide an account of charges on cancellation.

Lead times and delivery

Lead times are provided as estimates at the time of quotation and are subject to confirmation at the point of commissioning. While the Studio makes every reasonable effort to meet agreed timelines, bespoke production is inherently subject to variation.

Delays arising from client-side factors (such as late approval of designs, site access restrictions, or changes to the brief) will not be attributed to the Studio and may affect the delivery schedule.

The Studio will notify the client promptly of any material change to the expected delivery date.

Materials and natural variation

Many of the materials used by the Studio, including stone, timber, leather, shell and lacquer, are natural products. Natural variation in grain, texture, colour and veining is inherent to these materials and is not a defect.

Where samples are provided during the design process, they are indicative of material character rather than exact replicas of the finished piece. The Studio will always bring significant variation to the client's attention before proceeding.

The Studio uses only reputable material suppliers and will advise on care and maintenance on completion.

Confirm IP assignment and licensing with your solicitor

Designs and intellectual property

All designs, drawings, technical specifications and creative work produced by the Studio remain the intellectual property of Make Bespoke Studio Ltd unless otherwise agreed in writing.

On receipt of full payment, the client receives a licence to use the completed physical work. This licence does not transfer the underlying design rights.

The Studio reserves the right to photograph and publish completed commissions for portfolio and marketing purposes, unless the client has requested otherwise in writing before completion.

Installation and client obligations

Where installation is included in the scope of a commission, the client is responsible for ensuring that the site is ready to receive the work on the agreed date, including:

  • Safe and unobstructed access to the installation area
  • Structural and service conditions suitable for the planned installation
  • Any preparatory works specified by the Studio being complete before the installation date

Where the site is not ready on the agreed date and the Studio's team is in attendance, any abortive costs will be charged to the client. A rescheduling fee may apply.

Confirm liability cap and exclusions with your solicitor

Limitation of liability

The Studio's total liability to the client in connection with any commission shall not exceed the total value of that commission, unless otherwise required by law.

The Studio shall not be liable for any indirect, consequential or economic loss, including loss of profit or loss of use, howsoever arising.

Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

The Studio maintains appropriate professional and product liability insurance. Details are available on request.

Governing law and disputes

These terms are governed by the law of England and Wales. Any dispute arising from a commission will be subject to the exclusive jurisdiction of the courts of England and Wales.

Where a dispute arises, both parties agree to first attempt resolution through good-faith discussion. The Studio is committed to maintaining the long-term relationships that bespoke work demands.

Changes to these terms

The Studio may update these terms from time to time. The version in force at the time a commission is confirmed applies to that commission. Updated terms will apply to commissions confirmed after the update date.
